Terms of Service

1. Definitions

• "Product": AltShift for PowerPoint (a VSTO add-in for Microsoft PowerPoint)
• "User": An individual or entity that has obtained a license for the Product
• "License Key": A serial key that verifies the right to use the Product
• "Provider": AltShift, the entity that provides the Product

2. Grant of License

Subject to these Terms, the Provider grants the User a non-exclusive, non-transferable, non-sublicensable license to use the Product under the following conditions:

• Each license permits the same User to install and use the Product on up to two (2) devices (sharing a single license among multiple users is prohibited)
• The Product may be used for both commercial and personal purposes
• Copies may be made solely for backup purposes

3. Prohibited Activities

Users shall not engage in any of the following:

1. Transferring, lending, selling, or publicly disclosing a License Key to any third party
2. Sharing a single license among multiple users (each license is for one individual User only)
3. Reverse engineering, decompiling, or disassembling the Product
4. Modifying or redistributing the Product or any part thereof
5. Attempting to circumvent or disable the license verification system
6. Using the Product in any manner that violates applicable laws or regulations

4. Fees, Payment & Cancellation

Fees are as displayed at the time of purchase.

• Monthly plan: Automatically renews each month. To cancel, please do so at least 24 hours before the next renewal date.
• Annual plan: Automatically renews each year. After cancellation, you may continue to use the Product until the end of the current billing period.
• Fees already paid for the current billing period are generally non-refundable. However, refunds may be issued if the Product becomes unusable due to a critical defect attributable to the Provider.
• Fees are subject to change without prior notice. Existing subscribers will continue to be charged at the rate in effect at the time of their original purchase until they cancel.

5. System Requirements

The following environment is required to use the Product:

• OS: Windows 10 or later (64-bit)
• Application: Microsoft PowerPoint 2019 or later, or Microsoft 365
• Internet connection: Required for license activation and periodic verification (offline grace period: 7 days)

The Product is not guaranteed to function in environments that do not meet these requirements.

6. Disclaimer of Warranties & Limitation of Liability

The Provider shall not be liable for any damages arising from the use or inability to use the Product, including but not limited to data loss, business interruption, or lost profits, except in cases of willful misconduct or gross negligence on the part of the Provider.

7. Modifications, Suspension & Termination of Service

The Provider reserves the right to:

• Add, modify, or remove features of the Product without prior notice
• Temporarily suspend the service for maintenance or other operational reasons
• Discontinue the license server (in such case, at least 90 days' prior notice will be provided)

8. License Revocation

A license may be revoked immediately if any of the following occurs:

• Violation of these Terms
• Unauthorized circumvention of the license verification system is detected
• Subscription payment is overdue

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
